1. Agreement to These Terms

These Terms of Use (“Terms”) govern your access to and use of the DialyzeConnect platform and the associated websites at https://www.dialyzeconnect.com and https://www.primohealthcareservices.com (collectively, the “Services”), operated by Primo Healthcare Services, LLC (“Primo Healthcare Services,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not access or use the Services.

2. About DialyzeConnect

DialyzeConnect is a home dialysis coordination and professional connection platform operated by Primo Healthcare Services, LLC. DialyzeConnect helps patients, families, dialysis facilities, nephrologists, case managers, payers, and qualified dialysis professionals coordinate support for home dialysis. When a patient already has an established dialysis facility and nephrologist, the platform is designed to complement those existing relationships by helping connect the patient with appropriate dialysis professionals for home support. In circumstances where additional professional relationships are needed, DialyzeConnect may facilitate connections with participating licensed healthcare professionals, who independently determine and provide any clinical services within their respective scopes of practice.

DialyzeConnect is not intended to function as an electronic health record. The platform is designed to collect and use only information reasonably necessary for authorized coordination, professional matching, staffing, scheduling, credentialing, workflow management, and related services. Detailed clinical records should remain with the patient’s treating healthcare providers and facilities whenever practical.

DialyzeConnect does not diagnose patients, prescribe dialysis, write clinical orders, establish medical necessity, or make clinical decisions. Any clinical evaluation, orders, treatment plans, or professional services delivered in connection with use of the platform are provided independently by licensed healthcare professionals within their respective scopes of practice. DialyzeConnect facilitates the connection and coordination. The licensed professional remains independently responsible for their clinical judgment, orders, professional conduct, and compliance with all applicable professional and legal requirements.

No guarantee of eligibility or availability. DialyzeConnect does not guarantee that any particular patient qualifies for home dialysis or that professional services will be available in any given location, timeframe, or circumstance. Eligibility for home dialysis and any associated services is determined by applicable clinical, facility, payer, credentialing, and legal requirements, and by the independent judgment of the licensed professionals and facilities involved.

3. Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent that you meet this requirement and that all information you provide is accurate, current, and complete.

If you access the Services on behalf of an organization, such as a dialysis facility, case management organization, or payer, you represent that you have authority to bind that organization to these Terms.

4. Account Registration and Security

Certain features of the Services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@primohealthcareservices.com if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably determine present a risk to the platform, its users, or third parties.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Provide false, misleading, or inaccurate information in connection with your account or platform use
• Misrepresent your professional credentials, licensure, certifications, or qualifications
• Access or use the platform in a manner that could damage, disable, or impair its operation or security
• Attempt to gain unauthorized access to any portion of the platform, its systems, or other users’ accounts
• Use the platform for any purpose unrelated to legitimate home dialysis coordination services
• Transmit content that is unlawful, harassing, abusive, fraudulent, or otherwise objectionable

Professionals using the platform remain solely responsible for compliance with all applicable professional licensing, credentialing, scope-of-practice, and regulatory requirements in every jurisdiction in which they provide services.

6. Health Information and Platform Scope

DialyzeConnect is not intended to function as an electronic health record. The platform is designed to collect and use only information reasonably necessary for authorized coordination, professional matching, staffing, scheduling, credentialing, workflow management, and related services. Detailed clinical records should remain with the patient’s treating healthcare providers and facilities whenever practical.

Nothing in the Services constitutes medical advice, clinical guidance, a treatment recommendation, or a determination of medical necessity for any individual. Users of the platform who are licensed healthcare professionals remain solely responsible for their independent clinical judgment, orders, treatment decisions, and professional conduct within their scope of licensure.

DialyzeConnect makes no representations regarding payer coverage, insurance reimbursement, Medicare or Medicaid certification, or the legal permissibility of any particular home dialysis arrangement under applicable federal, state, or local law. Users are responsible for independently confirming the applicable requirements for any services they seek to coordinate through the platform.

7. SMS / Text Messaging Terms

7.1 Program Description

Primo Healthcare Services sends informational and operational SMS text messages through the DialyzeConnect platform. These messages are limited to the following categories:

• Professional opportunity notifications
• Assignment confirmations and updates
• Coordination status updates
• Scheduling communications
• Account and service notifications

7.2 PHI Minimization in SMS

Our operational SMS program is designed so that text messages do not include patient names, diagnoses, dialysis prescriptions, clinical notes, medical records, or other patient-specific clinical information. When authorized case-specific information is required, recipients are directed to sign in to DialyzeConnect or use another authorized communication method.

7.3 How to Opt In

You may opt in to receive SMS messages by providing your mobile phone number and affirmatively checking the consent checkbox on our website, platform, or other designated opt-in location. Consent to receive SMS messages is not required as a condition of registering for or using the Services.

7.4 Message Frequency

Message frequency varies based on your account activity and coordination case status.

7.6 How to Opt Out

You may opt out of SMS messages at any time by replying STOP to any message you receive from us. You will receive a one-time confirmation that your opt-out has been processed. No further SMS messages will be sent to that number following opt-out, except as may be required by applicable law.

7.8 Carrier Limitations

Primo Healthcare Services and DialyzeConnect are not responsible for delayed or undelivered messages. Delivery of SMS messages is subject to the policies and network conditions of your mobile carrier. Carriers are not liable for delayed or undelivered messages.

7.9 Changes or Termination of the Messaging Program

We reserve the right to modify or discontinue the SMS messaging program at any time. We will make reasonable efforts to notify enrolled recipients of material changes where practicable.

8. Intellectual Property

The Services and all content, features, and functionality — including text, graphics, logos, software, and platform design — are owned by Primo Healthcare Services, LLC or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any portion of the Services without our express written permission.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE PLATFORM WILL BE AVAILABLE IN ANY PARTICULAR GEOGRAPHIC AREA OR THAT ANY PARTICULAR PROFESSIONAL OR SERVICE WILL BE AVAILABLE FOR ANY GIVEN COORDINATION REQUEST.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRIMO HEALTHCARE SERVICES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow limitations on certain types of liability, so the above limitations may not apply to you in full.

11. Indemnification

You agree to defend, indemnify, and hold harmless Primo Healthcare Services, LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party right.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law provisions. Any dispute arising under or related to these Terms shall be resolved in the state or federal courts located in Atlantic County, New Jersey, and you consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms with an updated effective date. Your continued use of the Services after any update constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
